Single-Member Limited Liability Company in Iranian Commercial Bill

Abstract


According to Commercial Code 1311, there is no possibility for establishing of a single-member company. With design of Commercial Bill, this will be provided for Limited Liability Company to form and manage by one man. In this paper, we study the necessities that are for reorganization of single-member companies. Also, with doing an analysis in consecration and home-business conclude that single-person legal entity is conforming the principles in Iranian law. With these measures, we study the formation, management and dissolution of Single-Member Limited Liability Company.
